When a transformer is located above a suspended ceiling (45Kva) can the secondary OCPD be located in the ceiling space adjacet to the xfmr.? Or does it have to be located below the ceiling?

IMHO, i would say look at 240.24

I think that per 240.24(A)(3) and 225.40, the secondary OCPD could be above the ceiling if it supplied (for instance) a branch circuit panelboard that was mounted in a readily accessible location.
