What is the minimum distance a 120/208 3 phase panel needs to be away from a water heater in a commercial application? Code references please.

There is no code reference. As long as you meet 110.26 you are good to go
agree ! as long as the panel has the 110.26 required clearance the heater can be 1/64 of an inch to the side of the panel.
