200A Service/125A Panel

A 200A Service with a 200A Main Service Breaker feeding a 125A Main Distribution Panel. Is there anything in the wrong with this? Would the conductors be sized for the Main Service Breaker or the Panel?

So unless one of the tap rules apply you'll need 200 amp conductors to feed the 125 amp CB.
