Does this mean if the main breaker is vertically operated you can not mount a panel up-side down? Does the manufactures okay make it legit? :-?
 
The breaker must always have ON on top.

Many, if not most, vertically mounted main breakers may be 'rotated' for bottom feed applications. This rotation often involves removing the breaker, swapping the location of the incoming lugs, and then reinstallation.
 
The residential panels I use have main breakers where the handles moves horizontally rather than vertically. This allows for the panel to be mounted upside down.
