I have a 3" rigid riser with 3-#500mcm and 1-#350(neutral) line side of a 320 metercan,. On the load side I have two sets of 3/0 going to to two 200A Disconnects. Is this code compliant for a 400A Service as long as the calculated load does not exceed 380A.

Imo, it is compliant.
I can't make the leap Dennis did 
99% chance it's compliant, but you did not really give any justification for the reduced neutral.
Either an actual calculation or applying 220.63 if all the conditions exists.
It's difficult to imagine a scenario where you could not reduce the neutral, but not given any details, it's possible.

I can see a problem with a can rated for 320. If the load's near 380.

A 320 can is rated the same as a 400 amp panel.
Both can take 320 amps continuous or 400 non-continuous.
