When do a rewire, and you are in the attic and their are pre-exisiting raceway's....should all wiring be replaced within the exisiting raceway's? what is the NEC's requirement on the minn distance of securing any and all wiring in and around the attic opening? Also, when a bathroom exhust fan is placed in the bathroom and it has no vent leading to the outside of the attic, but it is exposed to junction boxes and 12/2 romex, what is the NEC's requirement for this condition?

As far as the fan, in my corner of the world the fan is required to be vented to the outside.

Wiring must be 6' from attic opening unless secured to a running board.

A non ducted exhaust fan is not a NEC violation. This would be a building code issue.
