Is this a dwelling?
Is the panel going to be IN the bathroom?
See 240.24(E)
Also, if this is the service equipment (dwelling or not) see 230.70(A)(2)

I think you must either relocate the panel, or somehow create walls that put it outside the new bathroom, or tell the owner that a bathroom cannot be built in that location. Whatever leniency might sometimes be available by virtue of a "grandfather rule" will not be available in this case. Yesterday, there were no overcurrent devices in a bathroom. Tomorrow, there will be. This creates a new violation, rather than accepting an old one.

As long as this is a non residential type of building, the panel can remain as long as all code required clearances are maintained and this panel does not contain the main service disconnect. This is not necessarily good design however, but seems to meet code.
