Part II of Article 110 of the NEC specifies all required working space about electrical equipment. The installation of your service equipment will have to meet these requirements. There is an exception for headroom in existing dwellings (110.26(E)).

Your description is pretty vague, but all services need a main disconnect. Specific requirements can be found in Part VI of Article 230.

Please get in contact with the serving electric utility. They may have rules on the location and accessibility of their cash register. We do not permit a meter to be installed in any basement except in very special circumstances. :D
