panel within a panel

The other day I saw a new sub panel installed within an old panel. The old panel was encased in concrete. You open the door to the old panel and you have access to the new panel door. The existing feeder and branch circuits were installed through plastic grommets into the new panel. The. Would this be code compliant?
 
How are the wires that enter the old panel connected into the new panel. Also NM or conduit? I suspect it could be compliant

Conductors are run in flex and are connected to old panel. The conductors are extended through plastic grommets into new panel.
