I have water fountain submersible on lake and its controller and feeder breaker on outside wall of building on land and uses SEOW cable to the submersible water fountain. Does anyone have experience with SEOW if it requires conduit? Is their a code requirement either way to have SEOW cable in conduit its going underground in land to underwater to submersible water fountain on lake?

I don't know of any rubber cord that is suitable for direct burial. It also is not allowed in conduit.

I have similar situarion except I have submersible water foutain and power coming from outside wall feeder breaker. Nec 501.40(A)(3) would apply no?

No. It only applies to Class I Divisions 1 and 2 locations.
