we are installing a 50 kva 480v to 240v indoors. The 480v/125a is the primary about 40' away. The transformer feeds a 200a 240v panel. Is the 10' or 25' tap rule apply or do they apply at all and i can install any lenght ?

The transformer secondary conductors require protection per 240.21(C) or 240.92(C).

The panel needs protection per 408.36.

The above are separate requirements but one OCPD can satisfy both.

How far away can i install the secondary OCPD off transformer ? is there a NEC requirement mentioning distance?

Yes.

240.21(C), or 240.92(C) if applicable, as I mentioned earlier. Basically, 10', 25', 100', or unlimited as conditions apply.
