Nec 422.11(3) states that a water heater....protection should not exceed 150 amps.

Our current situation is that we have 75kW @ 208V electric water heater which would need an over-current protection of 300 amps but our panel is rated for 400 amps.

1) Is there any code violations if would put this 300 amp breaker on this 400 amp panel and our load does not exceed 400 amps.

It depends on the water heater. If it has fuses or overcurrent protection as part of the unit, they will have at least 2 sets of fuses or circuit breakers, each feeding separate heating elements, and each sized at 150A or smaller.

If the heater doesn't have OCP, I think you will find it has at least two sets of leads, each connected to a separate element. In that case, you will have to provide 2 breakers, each 150a or less.

Bottom line is that you need to get the cut sheet on the heater.
