Grouping disconnects

Does a exterior disconnect and an interior load center ( located immediately inside in the basement) violate grouping of disconnects?

I've got an exterior service rated transfer switch with a MB and an interior load center with a
MB. Both supply power to the dwelling.

I would say yes not grouped, However the code is not specific on exactly what grouped means. But it seems like a no brainer to me if you consider what the purpose of the grouping requirement is.
 
I was envisioning a 230.40 exception #2 install with 2 service disconnects, however after rereading the OP, that may not be the case. Now I'm thinking it's just an exterior service disconnect serving a sub panel that happens to have a MB in it on the inside. More specifics from the OP would be helpful

My thought as well, there is only one service disconnect and that's on the outside.
