If the sub panel is in the same building as the service panel that feeds it there is no requirement to have a main in a sub panel. This assumes the feeder has a rating the same or less than the sub panel.

If the sub panel is in a separate structure there is still no requirement for a main breaker again assuming the feeder has a rating the same or less than the sub panel.

However there is a requirement for a disconnecting means in a separate structure. Often the easiest way to comply with this is a main breaker panel.

I get the feeling you're just trying to stir the pot here :) . What have you got up your sleeve? It would be the easiest way to satisfy 240.21(C)(6)(2) for example, wouldn't it?

No way, not me :)

It may be the easiest way to meet certain code requirements but that is a design issue as they say. ;)
