I will be running a feeder to a sub panel for a new swim/spa. The new panel will be piped in pvc from service panel and have XHHW wire. The circuits from the the new panel with be in NMLT and are all 240V and hardwired(less than 6' from panel). My question is do they need GFCI protection? I'm thinking No from what I am seeing in the 2005 NEC. Also any existing receps/switches within 5' of pool walls will be blanked off and any between 10-20' will be made GFCI proteced. Am I missing anything?

I have tried to pick your installation apart, and found nothing.

Edit: However, I would GFCI protect the whole shebang at the branch circuit level, myself.

if this is a swimming pool, spa or hot tub it needs to be gfi protected. per 2008 nec witch i know had a boat load of changes so i dont know if it reflects the 2005.

Not so much, but he'd be well advised to adhere to the more restrictive 2008, IMO. It would require GFCI protection for more of the installation than the 2005.
