If you have a 800 amp service and four feet of space on the side of the gear with a large metal duct at the end of that four feet of space, I beleive its within code to install a lighting panel board with a ems contactor along side of the panel.
Any thoughts on this?

The amperage rating of the board means nothing. What matters is its nominal voltage to ground. Also, when you talk about the side of the gear, I presume you are talking about a side to which a maintenance person would not need to gain access. When we speak in terms of working space, what matters is how much room the worker would have, while the covers are open for inspection or maintenance, between the front face of the board and whatever would be behind the worker's back at that time. There is no rule about clearance to the side of equipment, unless the manufacturer wants some space left open (e.g., for ventilation).
