We do this all the time,
125 amp breaker feeding a UPS with 125 amp output breaker that feeds a 200 amp main breaker panel. We size the wire to the 125 amp breaker and the load does not exceed the 125 amp breaker feeding it.
And we do this in buildings that house radio racks and other equipment used for fire and police communication.
The only time we ever got challenged was when we spliced the feeder wires together to feed two panels instead of one. And that was because they tried to bust us on the tap rule. but we weren't tapping anything we just spliced #1 to #1 to feed the second panel.
